1.Acceptance of these Terms

By registering for an account, ticking the acknowledgement box, or otherwise accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. These Terms form a legally binding agreement between you and VertixaTrade (the “Company”, “we”, “us”).

2.Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and have full legal capacity to enter into these Terms. The Platform is not available to persons located in jurisdictions where its use would be unlawful, and you are responsible for ensuring that your use complies with all laws that apply to you.

By using the Platform you represent that you are not a resident of, or accessing it from, any restricted or sanctioned territory, and that you are not on any applicable sanctions or prohibited-persons list.

3.Your account

• You may hold only one account. Creating multiple or duplicate accounts may result in suspension and forfeiture of balances.
• You must provide accurate, current and complete information at registration and keep it up to date. Registration requires email verification via a one-time code.
• You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
• We may request identity or source-of-funds verification (KYC/AML) at any time and may restrict activity until it is completed.

4.Demo accounts & virtual balance

New accounts include a demo (practice) balance in virtual credits. Demo credits have no monetary value, cannot be withdrawn or exchanged for money, and are provided solely so you can try the Platform. Demo results are not indicative of real-money results.

5.Deposits, withdrawals & balances

• Real-money features require a funded account. Deposits are made using the payment methods made available on the Platform; you are responsible for the accuracy of the addresses and details you provide.
• Withdrawals are paid to a wallet or method you control, subject to identity verification, any applicable wagering/turnover requirements, and our fraud and risk checks.
• Blockchain transactions are irreversible. We are not responsible for funds sent to an incorrect address, network or asset, or for losses caused by third-party wallets, exchanges or networks.
• We may apply fees, minimum and maximum limits, and processing times, which are displayed on the Platform and may change from time to time.

6.Nature of the service & risk

The Platform offers short-duration market products and interactive games. Prices, charts and outcomes shown on the Platform are used to determine the result of a position or round. Participation involves the risk of losing the amount you stake. Only participate with funds you can afford to lose.

Nothing on the Platform constitutes financial, investment, legal or tax advice, or a recommendation to enter into any transaction. You are solely responsible for your decisions.

7.Bonuses & promotions

Bonuses, rewards and promotions are optional and may be subject to additional terms, including wagering/turnover requirements, eligibility rules and expiry. We may vary, withhold or reclaim a bonus if we reasonably believe it has been obtained through abuse, fraud or a breach of these Terms.

8.Prohibited conduct

You agree not to:

• use the Platform for any unlawful purpose, including money laundering or financing illegal activity;
• use bots, automation, exploits, or manipulate or attempt to manipulate outcomes, prices, bonuses or the Platform;
• open multiple accounts, use another person’s identity, or provide false information;
• attempt to gain unauthorised access to the Platform, other accounts, or our systems; or
• infringe our or any third party’s intellectual-property or other rights.

9.Responsible play

We encourage responsible play. Set your own limits and take breaks. If you feel your play is becoming a problem, you may request account limits or self-exclusion by contacting support, and you should seek help from a professional support organisation in your country.

10.Intellectual property

The Platform, including its software, design, text, graphics and logos, is owned by or licensed to the Company and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your personal, non-commercial use in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer or create derivative works except as permitted by law.

11.Disclaimers & limitation of liability

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free or secure.

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of or relating to your use of the Platform. Our aggregate liability to you for any claim will not exceed the amount you held in your real-money account balance at the time the claim arose.

12.Suspension & termination

We may suspend, restrict or terminate your account or access to the Platform at any time, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud or abuse, or where required by law. On termination, provisions that by their nature should survive (including intellectual property, disclaimers and limitation of liability) will continue to apply.

13.Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted on the Platform, and the “Last updated” date will be revised. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

14.Governing law

These Terms and any dispute arising out of or in connection with them are governed by the laws of the jurisdiction in which the Company is established, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the competent courts of that jurisdiction, subject to any mandatory consumer-protection rights available to you locally.
